Terms of Service

These terms are a working draft and are pending review by legal counsel before launch. The final version may differ from what appears below. We publish this draft in the interest of transparency so that providers and customers can understand how Ranky operates.
1. Introduction and acceptance
These Terms of Service (“Terms”) govern your use of the Ranky website and platform (“Service”), operated by [Ranky Legal Entity Name] (“Ranky,” “we,” “us,” or “our”).
By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Service.
We may update these Terms from time to time. Material changes will be communicated to affected users via email or a notice on the website at least 30 days in advance. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
2. Description of service
Ranky operates a platform that ranks local service providers based on verified customer reviews. The Service includes:
- The Ranky website
- The provider application and listing system
- The review collection process (outbound calls and text messages to verified customers)
- The provider quality scoring and ranking system
- The delivery of customer leads to listed providers
Ranky is not a contractor, employer, or agent of any service provider listed on the platform. Providers are independent businesses. Ranky does not guarantee the quality, safety, or legality of any provider’s work.
3. Eligibility
You must be at least 18 years old to use the Service, apply as a provider, or submit a contact form. By using the Service, you represent that you meet this requirement.
Service providers must hold all licenses, permits, and insurance required by their jurisdiction to legally operate their trade.
4. Provider terms
This section applies to service providers who apply to or are listed on Ranky.
4.1 Application and vetting. To be listed on Ranky, providers must complete an application, submit sequential job records (invoices, booking confirmations, or similar documentation), and pass our vetting process. Meeting the application requirements does not guarantee listing. Ranky reserves the right to decline any application at its sole discretion and without obligation to provide a reason.
4.2 Provider representations. By applying to Ranky, you represent and warrant that:
- All information you provide is accurate and complete.
- You hold all licenses, permits, and insurance required to operate your trade in your service area.
- You have the legal right to share the customer contact information contained in your job records with Ranky for the purpose of review collection.
- The job records you submit are sequential and representative of your actual work, not selectively chosen.
- You will not pressure, coach, bribe, or incentivize customers to provide favorable feedback to Ranky.
4.3 Fees and commission. Listed providers agree to pay:
- A one-time vetting fee, communicated during the application process, covering the cost of initial review collection and scoring.
- A per-deal commission on jobs closed through the Ranky platform. Commission rates are uniform within each service category in the same state and are communicated during the application process.
Ranky reserves the right to adjust commission rates with at least 30 days’ written notice. Changes apply to new deals only, not to deals already in progress.
4.4 Payment terms. Commission payments are due within [NUMBER] days of deal closure. Ranky may invoice providers or deduct commissions through an agreed-upon payment method. Late payments may incur a late fee of [AMOUNT/PERCENTAGE] per month or the maximum rate permitted by law, whichever is lower.
4.5 Quality standards and removal. Providers must maintain a quality score at or above Ranky’s minimum threshold. Ranky will notify providers whose scores are declining and provide a reasonable opportunity to improve. If a provider’s score falls below the threshold, Ranky may remove the provider from the platform.
Ranky may also remove a provider immediately and without prior notice for:
- Submitting fraudulent or misleading job records
- Attempting to manipulate the review process (including pressuring customers, submitting fake customer information, or impersonating customers)
- Engaging in illegal activity
- Violating these Terms
Removal is not necessarily permanent. Providers removed for quality reasons may reapply after a waiting period determined by Ranky. Providers removed for fraud or manipulation may be permanently barred.
4.6 No guaranteed results. Ranky does not guarantee any specific number of customer leads, deal closures, or revenue. Rankings are determined by verified customer feedback and may change over time.
5. Review process and policies
This section applies to all users and describes how Ranky’s review system works.
5.1 How reviews are collected. Ranky collects reviews by manually contacting verified customers of listed providers. Customers do not submit reviews themselves. Reviews are collected through structured quality interviews conducted by phone or text message.
5.2 AI-assisted interviews. Some review interviews may be conducted using AI-assisted technology. When AI is used, the customer is informed at the beginning of the call. Customers may request a human interviewer at any time.
5.3 Review content and scoring. Reviews assess four dimensions: quality of work, professionalism, timeliness, and pricing fairness. Individual review responses are aggregated into a provider’s quality score using Ranky’s proprietary scoring methodology. Ranky reserves the right to modify its scoring methodology at any time.
5.4 Review attribution. Customer reviews may be attributed with the customer’s first name and city (with consent) or listed as “Verified Customer” (without consent or by request). Attribution preference may be changed at any time by contacting Ranky.
5.5 Review accuracy. Ranky publishes reviews based on what customers report during the interview process. While we take steps to verify that reviews come from real customers with real transactions, we do not independently verify the factual accuracy of every claim made in a review. Reviews represent the customer’s honest assessment, not a guarantee of objective truth.
5.6 Review disputes. If a provider believes a review is inaccurate, fraudulent, or does not reflect an actual customer interaction, they may request an investigation by contacting Ranky. Ranky will investigate in good faith and may contact the customer for clarification. Ranky retains final discretion over whether to modify, retain, or remove a review. We do not remove reviews simply because a provider disagrees with the feedback.
5.7 Follow-up reviews. Ranky may re-contact customers weeks after the initial review to check whether their assessment has changed. Updated feedback is incorporated into the provider’s score.
5.8 Review ownership and license. Customers retain ownership of their review content. By participating in a Ranky review, customers grant Ranky a perpetual, worldwide, royalty-free, non-exclusive license to use, publish, display, and distribute the review content (including attributed name and city, if consent is given) in connection with the operation of the Ranky platform, including on the Ranky website, in marketing materials, and in communications with providers. Customers may request removal of their attributed information at any time, but anonymized review content may continue to be used.
6. Customer terms
This section applies to customers who are contacted by Ranky for reviews.
6.1 Participation is voluntary. You are not required to participate in a Ranky review. You may decline the call, decline to answer any question, or end the conversation at any time.
6.2 Opt-out. You may opt out of future contact at any time by telling us during a call, replying STOP to a text message, or emailing hello@heyranky.com. We will honor your request within 10 business days.
6.3 No cost to customers. Ranky does not charge customers anything. We will never ask you for payment, credit card information, or financial details. If someone contacts you claiming to be from Ranky and asks for payment, it is not us. Please report it to hello@heyranky.com.
6.4 Honest feedback. By participating in a review, you agree that your responses represent your honest assessment of the provider’s work. You agree not to provide a review that is intentionally false, misleading, or motivated by a desire to harm a provider for reasons unrelated to the quality of their work. Ranky reserves the right to disregard reviews that appear fraudulent or retaliatory.
7. Website terms
This section applies to all visitors to the Ranky website.
7.1 Acceptable use. You agree not to use the website to transmit harmful, unlawful, or infringing content; attempt to access systems or data you are not authorized to access; interfere with the website’s operation; or scrape, crawl, or harvest content or data from the website without Ranky’s written permission.
7.2 Accuracy of information. While we strive to keep information on the website accurate and up to date, we do not guarantee that all content is error-free. Provider scores, rankings, and availability may change without notice.
7.3 Third-party links. The website may contain links to third-party websites or services that are not operated by Ranky. We are not responsible for the content, privacy practices, or terms of those third-party sites.
8. Intellectual property
All content on the Ranky website, including text, graphics, logos, page layouts, and software, is the property of Ranky or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from this content without Ranky’s prior written permission.
The Ranky name, logo, and related marks are trademarks of Ranky. You may not use these marks without our written permission.
9. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, RANKY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Ranky does not warrant that the Service will be uninterrupted, secure, or error-free; that provider scores or rankings are free from error; that any provider listed on Ranky will perform work to your satisfaction; or that our review process will capture every relevant aspect of a customer’s experience.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RANKY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. THIS INCLUDES, WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR ANY DAMAGES ARISING FROM RELIANCE ON PROVIDER RANKINGS OR REVIEWS.
RANKY’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO RANKY IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
11. Indemnification
Providers agree to indemnify, defend, and hold harmless Ranky and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from: (a) any breach of these Terms by the provider; (b) any claim that the provider’s sharing of customer data with Ranky violates applicable law or any third party’s rights; (c) any claim arising from the provider’s work, services, or conduct; or (d) any inaccuracy in the provider’s representations to Ranky.
12. Dispute resolution
12.1 Informal resolution first. Before filing any formal legal proceeding, you agree to contact Ranky at hello@heyranky.com and attempt to resolve the dispute informally for at least 30 days.
12.2 Governing law. These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions.
12.3 Jurisdiction. Any legal proceedings arising from these Terms will be brought exclusively in the state or federal courts located in Austin, Texas. You consent to the personal jurisdiction of these courts.
13. Termination
By providers. Providers may request removal of their listing at any time by contacting Ranky. Outstanding commission obligations remain payable after termination.
By Ranky. Ranky may suspend or terminate any provider’s listing or any user’s access to the Service at any time, for any reason, with or without notice. Reasons may include violation of these Terms, failure to meet quality standards, fraud, or any conduct that Ranky determines is harmful to the platform or its users.
Effect of termination. Upon termination of a provider’s listing: (a) the provider’s profile and ranking will be removed from the website; (b) any outstanding commission obligations remain payable; (c) reviews collected during the listing period may remain on the platform in anonymized or aggregated form; and (d) provisions of these Terms that by their nature should survive termination will survive, including indemnification, limitation of liability, and dispute resolution.
14. General provisions
14.1 Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Ranky regarding the Service and supersede all prior agreements and understandings.
14.2 Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
14.3 Waiver. Ranky’s failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
14.4 Assignment. You may not assign your rights or obligations under these Terms without Ranky’s prior written consent. Ranky may assign its rights and obligations without restriction.
14.5 Force majeure. Ranky is not liable for any failure or delay in performing its obligations due to circumstances beyond its reasonable control, including natural disasters, pandemics, acts of government, Internet or telecommunications failures, or power outages.
14.6 Notices. Ranky may send notices to providers via email to the address on file. Providers are responsible for keeping their email address current. Notices to Ranky should be sent to hello@heyranky.com.
